STANDARD TERMS AND CONDITIONS OF SALE
The following terms and conditions govern all sales by Prime Vanilla Madagascar, LLC and are binding upon the client.
1. Precedence of Terms
The client explicitly waives the applicability of their own standard terms and conditions, even if issued after these terms. Any changes or exceptions must be agreed upon in writing by both parties in advance to be valid.
2. Payment Terms
- Payment Due Date: Invoices are payable within 30 working days, unless another timeframe is specified on the invoice or order.
- Late Payment Penalty: In case of non-payment by the due date, Prime Vanilla Madagascar, LLC reserves the right to impose a fixed interest penalty of 10% on the overdue amount.
- Service Suspension: Services may be suspended without prior notice in the event of late payment.
- Debt Recovery: If payment remains outstanding for more than 60 days after the due date, Prime Vanilla Madagascar, LLC may engage a debt recovery agency. All associated legal and recovery costs will be borne by the client.
3. Withholding Taxes
In certain jurisdictions, withholding taxes may apply to invoice amounts. These taxes are the sole responsibility of the client and must be paid to the relevant tax authorities. Under no circumstances will Prime Vanilla Madagascar, LLC bear costs related to a country’s tax legislation. The total invoice amount remains due in full to Prime Vanilla Madagascar, LLC.
4. Obligations and Liability
- Performance of Services: Prime Vanilla Madagascar, LLC will make every effort to deliver goods and services promptly and in line with agreed timeframes. However, obligations are not guaranteed as results-oriented.
- Third-Party Claims: Prime Vanilla Madagascar, LLC shall not be liable to the client for any claims brought by end consumers against the client.
5. Claims and Notifications
To be valid, any claims must be submitted to Prime Vanilla Madagascar, LLC via recorded delivery to its registered office within 8 days of the goods’ delivery or the services’ provision.
6. Governing Law
All contractual relationships are exclusively governed by the laws of the United States.
